Terms of Service
1. Agreement to Terms
By engaging the services of Matthew Ryan Barton Studio LLC ("Agency", "we", "us"), you ("Client") agree to be bound by these Terms of Service. These terms govern the provision of all digital marketing services offered by the Agency.
2. Digital Marketing Service Conditions
The Agency agrees to provide digital marketing services as described in a mutually agreed-upon Statement of Work (SOW) or formal proposal. The SOW will detail the scope of work, deliverables, and specific objectives for the Client's campaign. Any services requested by the Client that fall outside the scope of the SOW will require a separate agreement and may incur additional fees.
3. Timelines
The Agency will make every commercially reasonable effort to meet the project timelines outlined in the SOW. However, these timelines are good-faith estimates. The Client acknowledges that timelines may be subject to change due to unforeseen circumstances, third-party platform changes, or delays in receiving necessary assets, feedback, or access from the Client. The Client understands that specific outcomes, such as search engine ranking positions, are not guaranteed.
4. Payment Terms
The Client agrees to pay all fees as specified in the SOW. Payments for recurring services (retainers) are due in advance of each service period. All invoices are due upon receipt unless otherwise specified in writing. Failure to make timely payments may result in a suspension of services. All payments made to the Agency are non-refundable.
5. Legal Disclaimers & Limitation of Liability
The Agency provides services on an "as is" basis and makes no warranties, express or implied, regarding the results of the services. In no event shall Matthew Ryan Barton Studio LLC, its employees, or agents be liable for any lost profits or any indirect, consequential, incidental, special, or punitive damages arising out of this agreement. The Agency's total liability for any claim arising from this agreement shall not exceed the total fees paid by the Client to the Agency in the three (3) months immediately preceding the date of the claim.
6. Client Responsibilities
The Client agrees to provide the Agency with timely access to all necessary materials, data, and personnel required to perform the services effectively. This includes, but is not limited to, access to website backends, analytics accounts, advertising platforms, and brand assets. The Client is solely responsible for the accuracy and legality of all content and materials provided to the Agency.
7. Confidentiality
Both parties agree to keep all non-public information received from the other party confidential. This includes business strategies, financial information, customer data, and campaign performance data. This obligation of confidentiality shall survive the termination of the service agreement.
